1. Acceptance
By installing or using Custom Count & Sum (the "Add-on"), you agree to these Terms of Service. If you do not agree, do not install or use the Add-on.
2. The Service
Custom Count & Sum is a Google Sheets add-on that provides custom spreadsheet functions for counting, summing, and averaging cells based on their formatting (font style, font color, background color). The Add-on is developed and maintained by base:10 (contact us).
3. Free Tier, Trial & Paid Plans
- All functions work on ranges of 30 cells or fewer with no account or payment required.
- New users receive a 7-day free trial with full access access on unlimited ranges.
- After the trial, a paid plan is required for ranges larger than 30 cells. Plans are available on a monthly (€1.99/month), yearly (€14.99/year), or lifetime (€59.99, one-time) basis.
- Monthly and yearly plans renew automatically until cancelled. The lifetime plan is a one-time purchase with no recurring charge.
- Prices may change with 30 days' notice communicated via the add-on or by email. If you do not agree to a price change, you may cancel your subscription free of charge before the new price takes effect; continued use after that date constitutes acceptance of the new price.
4. Payment
Payments are processed securely by Stripe, subject to Stripe's own terms and privacy policy. We do not store your payment card details. For monthly and yearly plans, you authorise Stripe to charge the applicable fee at the start of each billing period. For the lifetime plan, Stripe charges a single one-time payment.
5. Cancellation & Refunds
- Monthly and yearly subscribers may cancel at any time via Stripe's customer portal or by contacting us. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
- Lifetime purchases are non-refundable except as required by applicable law.
- If you experience a technical issue that prevents you from using the Add-on, contact us within 14 days for a case-by-case review — for example, a licensed function returning a licence error despite an active subscription, or a duplicate charge.
- Consumers (EU/EEA): because the Add-on is digital content, your statutory 14-day right of withdrawal ends once performance has begun. By completing a purchase, you expressly request that we begin providing full access immediately, and you acknowledge that you thereby lose your right of withdrawal once the Add-on has unlocked the paid features. This does not affect your right to cancel a subscription for the future at any time under the first bullet above, nor any other mandatory consumer right.
6. Licence Grant
Subject to a valid subscription or lifetime purchase, we grant you a limited, non-exclusive, non-transferable licence to use the Add-on for your own personal or business purposes within Google Sheets. You may not sublicense, resell, or redistribute the Add-on or its functions.
7. Intellectual Property
The Add-on, including its source code, design, and the base:10 name and logo, is the exclusive property of base:10. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence granted in Section 6. If you send us feedback, suggestions, or feature requests, you grant us an unrestricted, royalty-free right to use them without any obligation to you.
8. Team & Domain Licences
A team or domain licence covers multiple users under a single yearly invoice, billed at €10.99 per seat/year, minimum 5 seats (€54.95/year to start).
- The purchaser (the "domain administrator") is the contracting party and is responsible for assigning and managing seats among members of their organization, and for ensuring assigned users comply with these Terms;
- Installing the Add-on domain-wide from the Google Workspace Marketplace does not by itself grant full access — a seat must be assigned to each user by the domain administrator;
- Adding or removing a seat takes effect immediately; removing a seat does not entitle the domain administrator or the affected user to a partial refund for the remainder of the billing year;
- Team and domain licences renew automatically each year until cancelled by the domain administrator, and are otherwise subject to the same payment, cancellation, and refund terms as individual plans (Sections 4–5);
- Where we process assigned users' email addresses on the domain administrator's behalf, we do so as described in our Privacy Policy and, to the extent applicable data protection law requires it, as a processor acting on the domain administrator's instructions.
9. Acceptable Use
You agree not to:
- Attempt to reverse-engineer, copy, or extract the Add-on's source code;
- Use the Add-on in a way that violates Google's terms of service;
- Abuse the trial system by creating multiple accounts to obtain free access.
10. Suspension & Termination
We may suspend or terminate your access to the Add-on if you breach these Terms, including the Acceptable Use provisions above. Where reasonably possible, we will give you notice and an opportunity to fix the issue first. Termination does not entitle you to a refund except as set out in Section 5.
11. Availability & Changes
We aim for high availability but do not guarantee uninterrupted service, and do not offer a formal uptime commitment or service credits. We reserve the right to modify or discontinue features with reasonable notice. If the Add-on is discontinued entirely, active monthly and yearly subscribers will receive a pro-rata refund for the remaining subscription period, and lifetime purchasers will receive a refund proportional to the time remaining in a notional five-year useful life from their purchase date.
12. Disclaimer of Warranties
The Add-on is provided "as is" without warranties of any kind, except to the extent mandatory law provides otherwise. We do not guarantee that the Add-on will be error-free or that results produced by its functions will be accurate in all circumstances. Use the Add-on's output at your own discretion.
13. Limitation of Liability
To the maximum extent permitted by law, base:10 shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Add-on. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death, or personal injury, or any other liability that cannot be excluded or limited under applicable law.
14. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including outages of Google Workspace, our cloud or payment providers, internet infrastructure failures, war, strikes, or government action.
15. Governing Law
These Terms are governed by the laws of Belgium. Any disputes shall be subject to the exclusive jurisdiction of the courts of the judicial district where base:10 is established. If you are a consumer, this does not deprive you of the protection afforded by any mandatory provisions of the law of the country in which you are resident.
16. General
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and base:10 regarding the Add-on;
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions stay in full effect;
- No waiver: failing to enforce a provision is not a waiver of our right to enforce it later;
- Assignment: we may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign your rights without our consent;
- Google is not a party: Google is not a party to these Terms and has no responsibility for the Add-on beyond its own Marketplace terms.
